Flock Labs provides an AI-powered SEO & GEO (Generative Engine Optimization) service. Our AI agents perform search engine optimization tasks on your behalf, including but not limited to: keyword research, content creation, technical SEO audits and fixes, link building, local SEO management, GEO / LLM placement optimization, and programmatic SEO. The Service is designed to improve your website's visibility in search engines and AI-powered platforms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, company name, and website URL. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

• Pricing: The Service is offered on a monthly subscription basis. Current pricing is available on our website.
• Billing: Subscription fees are billed monthly in advance. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
• Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Service until the end of your paid period.
• Price Changes:We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increase. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. Your Content and Data

• Your Content:You retain all rights to the content, data, and materials you provide to us through the Service ("Your Content"). You grant Flock Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute Your Content solely for the purpose of providing the Service.
• Generated Content: Content created by our AI agents on your behalf (blog posts, meta descriptions, etc.) is owned by you once delivered. You are responsible for reviewing and approving all generated content before publication.
• Data Access:By connecting third-party services (e.g., Google Search Console, CMS platforms) to Flock Labs, you authorize us to access and use data from those services as necessary to perform our SEO & GEO services.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in any deceptive or manipulative SEO practices that violate search engine guidelines (e.g., keyword stuffing, cloaking, link schemes)
• Distribute malware, spam, or other harmful content through the Service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service to compete with Flock Labs or to build a similar product or service
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service

7. Service Availability and Modifications

We strive to provide reliable and uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8. No Guaranteed Results

SEO and GEO results depend on many factors beyond our control, including search engine algorithm changes, competitor actions, and market conditions. While we use best-in-class AI technology and industry best practices, we do not guarantee specific rankings, traffic levels, or business outcomes. The Service is provided on an "as-is" and "as-available" basis.

9. SMS Messaging

If you provide your phone number to Flock Labs and agree to receive SMS or text messages from us, you consent to receive communications related to your interactions with Flock Labs. These messages may include informational, conversational, operational, and other relevant communications. Message frequency may vary. Message and data rates may apply. You may opt out at any time by replying STOP, and you may request assistance by replying HELP.

10. Intellectual Property

The Service, including its underlying technology, algorithms, software, designs, and documentation, is owned by Flock Labs and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the Flock Labs name, logo, or trademarks without our prior written consent.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOCK LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flock Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, limitation of liability, and indemnification.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

16. Miscellaneous
